Jet changes hands, the shop stays

Since 1 December 2025, Jet's German and Austrian forecourt business has had new owners. Phillips 66 has handed 65 per cent to Energy Equation Partners and Stonepeak at an enterprise value of 2.5 billion euros, covering around 970 sites. For the shop, the real news lies in the question of who did the buying.

Buyers without a refinery

The sale was announced in May 2025 and completed yesterday. Phillips 66 retains 35 per cent, while the majority now sits with two financial investors who deploy capital and run networks rather than process crude oil. For the first time, one of the country's best known fuel brands answers to owners who value a site as a retail location instead of the final link in a chain that starts at the refinery.

That pattern has become the rule in the German market rather than the exception. Circle K has run the former TotalEnergies network since the end of 2023, Esso belongs to EG Group, and bp handed its Dutch fuel and charging business to Catom in July 2025. Operator and oil company are separating, network by network.

The shop moves into the middle of the calculation

As long as an integrated group held the network, the shop was a welcome addition to a business whose profit was earned elsewhere. Under a pure retail owner, the floor space behind the door carries its share of the calculation. The shop moves from ancillary business to profit centre for good.

The market has already shown what that looks like. Shell reset its shop business in July: its own certified coffee under the Shell Café name, consistent snackification, tighter ranges and a shift to "food for now" instead of "food for later". The striking part was the framework rather than the range. For the first time, the non-fuel retail business received external growth targets. That single step turns floor space into a management figure.

The metric changes

A site managed as an outlet for litres measures throughput, price position and traffic at the pump. A site managed as a profit unit measures something else: basket value, conversion of those who walk in, contribution by category, sales per square metre, and the uplift generated by a secondary display.

The difference sounds like accounting, yet it marks the real shift. Anyone releasing space for a display from now on compares it with what that same space earned before. Anyone tightening a category wants to know how much turnover lands on the neighbouring shelf and how much disappears altogether. Measured effect moves from optional extra to routine, on both sides of the counter.

One wholesaler, four networks

The supply side has already settled into its new shape. Lekkerland has supplied the Jet shops since October 2024 and Sprint since January 2025, while Edeka Foodservice has withdrawn from the segment. One wholesaler now serves Aral, Esso, Shell and Jet at the same time.

For manufacturers, that means listings are decided in fewer places while the question of in-store effect is asked in many places at once. Whoever brings evidence into that conversation negotiates from a different position than whoever brings demands.

What follows for the shop floor

An ownership announcement changes no planogram on a Tuesday morning. It changes the yardstick by which that planogram will be judged in the next annual negotiation. At the start of 2025, the German association bft counted 14,376 roadside forecourts, each one a small, high-traffic space with a limited number of shelf metres. On space like that, every decision in favour of one product is a decision against another.

Bormann & Gordon has tracked this channel since 2004 with its own Shopper Monitor Tankstelle, running around 2,500 shopper interviews at the point of sale each year alongside a survey of site operators, supported by roughly 30,000 store visits annually. Anyone who wants to know what their category really delivers at the forecourt today, and what an additional placement adds there, is well advised to look now, before the new metrics answer the question for them.
